Liverpool takeover approved by Premier League

The Premier League have given the go-ahead to New England Sports Ventures (NESV)'s takeover of Liverpool.

The green light to the takeover by the American company, owners of the Boston Red Sox, means that only the High Court action by current owners Tom Hicks and George Gillett stands in the way of the £300m deal going through.

The league said in a statement: "The Premier League has met with the owners and directors of New England Sports Ventures (NESV) regarding their proposed takeover of Liverpool FC and has received details, in accordance with Premier League rules, of the proposed company and ownership structure as well as the make-up of the new board.

"The Premier League is satisfied, with the information provided, that the individuals NESV intend to put in place in the event they complete their takeover of Liverpool FC meet the criteria set out in our owners' and directors' test.

"The board of the Premier League will continue working with Liverpool FC in regard to this process, however, we are aware that the formal completion of this takeover is yet to be resolved and it is therefore inappropriate for us to offer any further comment at this time."

If the takeover is not completed by next Friday then the Royal Bank of Scotland could put Kop Holdings, the company owned by Hicks and Gillett, into administration over their unpaid £280million debt.

If that happens, Liverpool would be at risk of a nine-point deduction.

Initially it had been thought the Premier League would not penalise the club for Kop Holdings becoming insolvent, but now the threat of a points deduction has become a serious one.

Under Premier League rules, the fact that the holding company is solely concerned with the ownership of Liverpool and football-related matters could trigger the nine-point penalty.

West Ham had been used as an example of why the Reds might escape in deduction if administration goes ahead when it was owned by Icelandic bank Straumur.

The Hammers, however, were a solvent part of a whole portfolio of different companies while Kop Holdings is solely concerned with Liverpool.

Liverpool chairman tells of administration fears

Liverpool chairman Martin Broughton has told ESPNsoccernet that administration and the docking of nine points is a frightening possibility that he is desperately fighting to avoid.

Speaking from Washington, he talked candidly about the threat of administration on Liverpool. With the Royal Bank of Scotland's deadline for the repayment of £237 million looming on October 15, a Liverpool civil war will take place in the High Court just days before the banks can foreclose on Tom Hicks and George Gillett with the option of taking control of the club or putting it into administration.

Broughton told ESPNsoccernet: "It could happen, yes. This is all part of why it is important that we made the decision on Tuesday to accept one or the other of the two very acceptable bids. Heading for administration was a very likely outcome if we didn't."

"Even now with the court case looming, administration cannot be ruled out," Broughton confessed. "It is not inevitable, and I am not going to start giving percentages of how much it is possible. That is why we are going to court to clarify our position on the sale of the club, and we have to win in court, and we will win in court."

When Broughton was reminded that it isn't just Liverpool fans who want to see the club survive, and the whole of football would mourn once-mighty Liverpool, one of the global brands in the game, he responded: "Yes, I agree with you. Yes, this is about Liverpool, but it is also about football, not just Liverpool, and all of football would want to see Liverpool in a healthy state. Yes I am confident that we shall succeed, but lawyers are always confident - on both sides."

The impact of administration is not lost on Broughton. He said: "Going into administration needs to be avoided at all costs, as the negative impact would be catastrophic. Setting aside the nine-point deduction, it would have an impact on Liverpool's value and be wide open to predators, whereas we have what we believe is the right new owners to take the club forward."

With a court case looming, the legal team backing Liverpool have advised Broughton to be circumspect about what he says about Hicks and Gillett.

However, Hicks' public declaration that he had not given any undertaking to Broughton about the constitution of the Board and the sale process will be central to the court case. Clearly, Broughton's argument is that an undertaking was given to the Royal Bank of Scotland as part of the agreement to increase the facility for the loan

Broughton said: "If an obligation is given to RBS as part of the agreement then an obligation has been given to the major creditor and one would expect that to be honoured."

Broughton hopes to convince Torres

He also stressed his belief that expected new owner John Henry and right-hand man Tom Werner can convince Fernando Torres and Steven Gerrard that they have a winning mentality, and they should stick around Anfield to see how far they plan to take the team.

Immediately the owners of the Boston Red Sox are installed and running the club, they plan to meet up with manager Roy Hodgson and his key players to convince them of their vision of turning around Liverpool's on-field fortunes.

Circling clubs are hoping to take advantage of Liverpool's current problems to capture Torres and Gerrard remains on the radar of Jose Mourinho at Real Madrid and Rafa Benitez ant Inter Milan.

The new owners will need to be persuasive to convince Torres and Gerrard that they will be embarking on the return to the glory days and a quick return to the Champions League, rather than being engaged in a relegation fight.

Broughton said: "The new owners want to be winners, and Fernando Torres wants to be a winner. They will be well matched. Will Fernando want to stay when he hears what they've got say - absolutely."

The chairman's original plan was to announce the takeover and then engage with all the team to explain to them about the new era at the club. But Broughton explained: "The plan was to get all the players together at the training ground to inform them of events, but then we discovered that most of them had gone off for international duty.

"Christian Purslow has spoken to Jamie Carragher and the few players who have been left. He [Purslow] has also spoken to our manager Roy Hodgson about the ideas and plans of the new owners."

而家一切要睇法庭點判,不過我估無論點判都好,輸的一方都一定會上訴。上訴的話對於 OCT 15 既 deadline 又唔知會有乜野影響……

照常理推測,RBS 係唔係都有錢收返,當然係度食花生……

不過係有少少擔心如果俾果兩條美國佬贏左官司,然後星期五進入 administration 扣九分,JW Henry 到時唔知係唔係都仲會照買……

我都覺時間有D趕, 假設下星期法庭通過埋, 都只係得番幾日去搞賣盤。有時買個球員都搞成幾個星期, 買賣成間球會喎。

不過如果萬事俱備, 只係差少少時間的話, 我又唔覺得RBS有咩原因想追數追到利記入admin, 最多遲少少罰番D息囉.....好一廂情願咁諗.............

NESV deal is in 'best interests' of Hicks and Gillett

Liverpool's ace card against Tom Hicks and George Gillett in the looming court case is that the £300 million takeover by New England Sports Ventures is actually in the best interests of the outgoing owners - because it wipes out a massive £110 million worth of personal guarantees to the Royal Bank of Scotland.

Tom Hicks and George Gillett are on their way out of Liverpool and the Premier League

Hicks and Gillett stand to lose a total of £254 million if the move by the owners of the Boston Red Sox collapses and they cannot find a replacement new owner by Friday.

ESPNsoccernet can exclusively reveal the cornerstone of Liverpool's case at the High Court next week is that the takeover is in everyone's best interests. The hearing is not likely until Tuesday at the earliest.

An inside source said: "It's in Hicks and Gillett's best interests, the board will argue, because it caps their losses at £144 million. Part of the deal with NESV is that the Royal Bank of Scotland wipe out the £110 million of personal guarantees."

An out of court settlement with Hicks and Gillett cannot be ruled out as the board is so confident that they will win the case.

另外rbs都拎到禁制令, 唔俾hicks 換board嘅成員了~~
